Terms of Service

1. Agreement to Terms

By accessing or using CloseBuddy, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, then you may not access the service.

2. Use of Service

You must follow any policies made available to you within the Service. Don't misuse our Service. For example, don't interfere with our Service or try to access them using a method other than the interface and the instructions that we provide.

3. User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

4. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of CloseBuddy and its licensors.

5. Limitation of Liability

In no event shall CloseBuddy, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

6. Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

8. Affiliate Programme and Commissions

CloseBuddy reserves the right to change, amend, suspend, or terminate the commission structure, rates, tiers, eligibility criteria, payment terms, or any other aspect of the CloseBuddy affiliate programme at any time, with or without prior notice. Any published commission rates, including rates described on marketing pages or promotional materials, are indicative only and do not constitute a binding guarantee of future payments.

Commissions are earned and payable only in accordance with the commission structure in effect at the time the qualifying transaction occurs. Affiliates have no vested right to any commission rate, tier, or benefit beyond the structure in effect at that time. CloseBuddy may change the structure at any time, including for tiers and transactions that have already been referred but not yet paid.

This clause survives termination of any affiliate agreement and applies in perpetuity to all current and former affiliates and their downstream sellers.

9. Artificial Intelligence Disclaimer

CloseBuddy uses artificial intelligence models to generate coaching tips, call reviews, and other content. AI systems can make mistakes, produce inaccurate information, or generate content that appears plausible but is incorrect, incomplete, or outdated. This is commonly known as hallucination.

You must not rely on AI-generated content as fact. All AI outputs should be independently verified before you act on them, particularly any figures, product details, compliance guidance, or client-facing statements. CloseBuddy makes no warranty or representation of any kind, express or implied, as to the accuracy, completeness, reliability, or suitability of AI-generated content, and accepts no liability for any loss or damage arising from reliance on it.

By using the Service you acknowledge that AI outputs may be imperfect, that you are solely responsible for your use of such content, and that you will not hold CloseBuddy liable for any consequences arising from AI errors or hallucinations.

10. Service Costs and Commission Sustainability

CloseBuddy operates on variable costs, including but not limited to artificial intelligence model usage and token consumption, which may rise materially over time. Commission and reward obligations are conditioned on the continued economic viability of the service.

If CloseBuddy's cost of delivering the service, including AI token or infrastructure costs, increases to a level at which existing commission obligations become uneconomic, CloseBuddy may at its sole discretion reduce, restructure, cap, suspend, or terminate commission payments, in whole or in part, for any period, without liability to affiliates or their downstream sellers.

No affiliate or seller shall have any claim, right of action, or expectation of payment beyond what CloseBuddy, in its sole discretion, elects to pay under this clause. Nothing in these Terms obliges CloseBuddy to incur losses or continue paying commissions at rates that exceed the economic value generated by the affiliate's referrals.

This clause applies in perpetuity, survives termination of these Terms or any affiliate agreement, and binds all current, former, and prospective affiliates and their downstream sellers.
